Terms of service
Effective date: [DATE]. These terms are a contract between you and Goodwin Investigations Inc. ("Goodwin", "we", "us"), an Alberta corporation, for the use of Agent Goodwin (the "Service"). By creating an account or paying for a subscription you agree to them.
- Refunds: this draft gives no refund for a partial month. Alternative: 7-day money-back on the first month.
- Seats: this draft is one named user per subscription; sharing a login is a breach.

1. What the Service is
Agent Goodwin helps you write workplace investigation reports from documents you upload. It indexes your documents, lets you search and select passages, and drafts report text from the passages you selected, with a reference to the source of each sentence.
The Service does not give legal advice, does not decide what evidence is relevant, and does not make findings. Those judgments are yours. You are responsible for reviewing every draft before you rely on it, and for the final report you issue.
2. Who may use it
You must be at least 18 and using the Service for business purposes. You confirm that you are entitled to upload the documents you upload, including any personal information in them, and that doing so is consistent with your obligations to the people the documents concern and to your client or employer.
3. Your account
A subscription is for one named person. You may not share your sign-in with anyone else. You are responsible for keeping your password confidential and for everything done under your account. Tell us at once if you think your account has been used without your permission.
4. Fees and billing
The Service is billed monthly in Canadian dollars, in advance, by card through Stripe. GST is added where applicable. Your subscription renews automatically each month until you cancel. You may cancel at any time from your account or by emailing us; cancellation takes effect at the end of the current billing period, and you keep access until then.
We do not refund fees for partial months. If a payment fails, we will notify you and retry; if it is not paid within 14 days we may suspend your account until it is.
We may change the price with at least 30 days' notice by email. The new price applies from your next renewal after the notice period.
5. Your content
You own the documents you upload and the reports you create ("Your Content"). You grant us only the permission needed to store, process, and display Your Content in order to provide the Service to you, and to comply with law.
We do not use Your Content to train or improve any artificial intelligence model, and we do not permit our providers to do so.
You can delete a report at any time, which deletes the documents attached to it. You can close your account at any time, which deletes all of Your Content. The privacy policy describes retention in detail.
6. Acceptable use
You agree not to: upload content you do not have the right to upload; use the Service to harass, defame, or unlawfully discriminate against anyone; attempt to access other users' content or the Service's systems; resell or share access; or use the output of the Service in a way that misrepresents it as an independent or human-authored analysis when that matters to the reader.
7. AI output
Draft text is generated by an artificial intelligence model from the passages you selected. It can be wrong, incomplete, or misleading, even when it cites a source. The references are there so that you can check every sentence against the record. You agree to do so before relying on any draft. We keep a log of the prompts and outputs for each report so that you can show how a draft was produced.
8. Confidentiality
We treat Your Content as confidential. We do not read it except where you ask us for help and grant access, where it is needed to investigate abuse or a security incident, or where the law requires. Our staff and contractors who could have access are bound by confidentiality obligations.
9. Availability and changes
We aim to keep the Service available at all times but do not guarantee it. We may change or withdraw features with reasonable notice. If we withdraw the Service altogether, we will give at least 60 days' notice and a way to export your reports.
10. Our intellectual property
The Service, its software, design, and documentation belong to Goodwin or its licensors. These terms do not give you any rights in them beyond use of the Service while your subscription is active.
11. Warranties and liability
The Service is provided as is. To the extent the law allows, we exclude all warranties, and our total liability to you for anything arising out of the Service in any 12-month period is limited to the fees you paid us in that period. We are not liable for indirect or consequential loss, or for any decision, finding, or report you issue. Nothing in these terms excludes liability that cannot be excluded by law.
12. Ending the agreement
You may cancel at any time (section 4). We may suspend or end your access if you breach these terms, if your payment is overdue, or if we must do so by law. On termination for breach we may delete Your Content after 30 days; on any other termination we will give you 30 days to export it.
13. Changes to these terms
We may update these terms. We will email you at least 30 days before a material change takes effect. Continuing to use the Service after that date means you accept the change.
14. Law and disputes
These terms are governed by the laws of Alberta and the federal laws of Canada that apply there. The courts of Alberta have exclusive jurisdiction, and you and we agree to try to resolve any dispute by discussion before starting a claim.
